For the first-time foreign investors in Bangladesh, we are able to advise on and handle company formation & registration (including 100% foreign owned shares), joint ventures, mergers, acquisitions, business licenses, BOI registration, opening of Branch and/or Liaison office, starting an offshore company, export and import license, factory permissions and income Tax issues of directors and/or companies, employment permissions and immigration issues for foreigners, compliance issues.

It may be noted that foreign capital invested in Bangladesh is generally allowed to be repatriated along with profit, if any, after the payment of taxes due on them.  For profits and dividends usually no permission of Bangladesh Bank is necessary for effecting remittance, subject to compliance with certain specified conditions. No prior approval is required to remit profits earned by Bangladeshi branches of companies (other than banks) incorporated outside Bangladesh to their Head Offices outside the country.

Financial advisory

We are able to advise and manage Initial Public Offerings (IPO) including carrying out detailed investment due diligence, pricing of stock, advising on capital structure and appropriate issue size, drafting public issue documents, and securing regulatory authorities’ approvals.  We have worked with our financial team on valuation for a number of underwriting proposals, managing discretionary and non-discretionary investment portfolios, managing substantial share acquisition and distressed buyout of listed companies (acquisitions included structuring, stock valuation, drafting acquisition documents).
